1. Eligibility
You must be at least 18 years old and authorized to represent a business to use our Services. We do not perform age verification checks, but you represent and warrant that you meet these eligibility requirements.

2. Services and Acceptable Use
We provide customizable AI voice agents, websites, and SMS marketing systems for businesses. All Services are built to your specifications and must comply with applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) for SMS and calls. You agree not to use our Services for any illegal, fraudulent, or unauthorized purposes, including spamming or violating third-party rights. We reserve the right to refuse to build or deliver Services that involve illegal activities.

3. Customization and Delivery
Our Services are customized based on information you provide through our AI agents, website forms, or consultations. Our engineers build and deliver the final product (e.g., AI voice agents, websites, or SMS systems). If you opt for a customization portal, we will provide a secure user account with standard password protection requirements. You are responsible for maintaining the security of your account credentials. We may terminate accounts for misuse, violation of these Terms, or at our discretion with notice.

4. Payments

Customization Fees: Customization of Services requires a one-time fee, with 50% due upon ordering and 50% due upon completion. All payments must be made in US dollars.

Subscription Fees: Ongoing use of AI agents or SMS systems requires a subscription fee, billed as agreed in your service contract.

No Refunds: All payments are non-refundable, including customization and subscription fees.

Late Payments: Late payments may result in suspension of Services. You have 30 days to resolve non-payment, after which we may terminate Services and delete all associated data.

5. Intellectual Property
We own all intellectual property rights in the underlying technology, code, and AI models used to provide the Services. You retain ownership of any content you provide (e.g., call scripts). We grant you a non-exclusive, non-transferable, revocable license to use the customized Services solely for your business purposes, subject to these Terms. You may not modify, reverse engineer, or resell the Services without our written consent.

6. Third-Party Integrations
Our Services may integrate with third-party tools (e.g., CRMs, cloud platforms) as part of custom website or AI agent buildouts. You are responsible for complying with the terms of any third-party providers. We are not liable for the performance, availability, or privacy practices of third-party services.

7. Disclaimers
Our Services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or accuracy of AI performance. We do not guarantee uninterrupted access, error-free operation, or specific results from using the Services.

8. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of profits, data, or business opportunities. Our total liability, if any, is limited to the amount you paid for the Services in the 12 months preceding the claim.

9. Indemnification
You agree to indemnify, defend, and hold harmless CP Staffing Corp, its affiliates, and their respective officers, directors, and employees from any claims, losses, or damages arising from your use of the Services, including but not limited to violations of applicable laws (e.g., TCPA, HIPAA) or misuse of AI agents, websites, or SMS systems.

10. Termination

By You: You may terminate your subscription by providing written notice and paying any outstanding fees.

By Us: We may suspend or terminate your access to the Services for non-payment, violation of these Terms, or at our discretion with notice. If you fail to pay subscription fees within 30 days, we may terminate Services Favor: [User] Services and delete all associated data.

Effect of Termination: Upon termination, your access to the Services will cease, and we may delete your data in accordance with our Privacy Policy.

11. Class Action Waiver
You agree that any disputes arising from these Terms or the Services will be resolved on an individual basis. You waive any right to participate in a class, collective, or representative action against us, whether in court or arbitration.

12. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration conducted in Sheridan, Wyoming, under the rules of the American Arbitration Association (AAA). Each party will bear its own arbitration costs. The arbitrator’s decision will be final and binding, but you may seek court enforcement of the arbitration award. This agreement to arbitrate does not apply to claims for injunctive relief or intellectual property violations.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any legal action not subject to arbitration will be brought exclusively in the state or federal courts located in Sheridan, Wyoming.
